According to company law and the relevant articles of company bylaws, the board of Shareholders 

was held on June 25, 2014. All shareholders attended the meeting, had unanimously agreed on

 the following decisions:

    1. Agreed Lou Xiaolei transfer company share to Chen Kangming

    2. Agreed to amend company bylaws including establishment of overseas branches, candidate 

for legal representative. Please refer to Amendment to Bylaws of Hangzhou Jianghe Hydro-Electric

Science & Technology Co., Ltd.

    3.Jiang Chao, Li Haizhen, Zhou Dan, Liu Changlu, Zhou Zhengming, Yu Jianfeng, Zhang Dongli 

were elecetd as a new board of directors. Zhang Jianjun serves as supervisor. Three years for each term.

Directors and supervisor from last term were both exempted.
